1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Midnight Mission Systems ("Midnight Mission Systems," "we," "us," or "our"), including our marketing site at midnightmissionsystems.com and the Blue Collar Trade Manager platform and mobile applications ("BCTM," and together with our other offerings, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. The Services

Midnight Mission Systems is a software development studio. Blue Collar Trade Manager is a payment and invoicing platform built for contractors and trade professionals that lets users create invoices, request and accept payments, and receive payouts. We may add, change, or remove features at any time.

3. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

Certain features (such as accepting payments) require identity and business verification ("KYC") through us or our payment partners. You agree to provide accurate information and understand that access may be limited or denied if verification cannot be completed.

4. Payments, Fees, and Payouts

Payment processing for BCTM is provided by third-party payment processors, including Stripe and/or [other processors]. By using payment features, you also agree to the applicable processor's terms (for Stripe, the Stripe Connected Account Agreement).

• Fees. BCTM charges a flat per-transaction fee as described at the point of sign-up or in-app. There are no monthly subscription fees unless stated otherwise. Fees are [non-refundable / described here].
• Payouts. Funds from successful transactions are paid out to your linked bank account on the schedule described in the app (for example, next-day funding), subject to processor timing, holds, and verification.
• Chargebacks and refunds. You are responsible for refunds, chargebacks, disputes, and related fees arising from your transactions. We may debit your account or offset payouts to recover such amounts.
• Taxes. You are solely responsible for determining and remitting any taxes associated with your use of the Services.

5. Acceptable Use

Your use of the Services must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Prohibited activities include unlawful conduct, fraud, and processing payments for prohibited businesses.

6. Intellectual Property

The Services, including all software, design, text, and logos, are owned by Midnight Mission Systems or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services as intended. You retain ownership of the content and data you submit ("Your Content"), and you grant us a license to host and process Your Content solely to provide the Services.

7. Third-Party Services

The Services integrate with third parties (for example, payment processors, SMS providers, and cloud infrastructure). We are not responsible for third-party services, and your use of them may be governed by their own terms.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIDNIGHT MISSION SYSTEMS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF [amount, e.g. $100] OR THE FEES YOU PAID US IN THE [12] MONTHS BEFORE THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Midnight Mission Systems and its officers, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services, Your Content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or as required by our payment partners or law. Provisions that by their nature should survive termination will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia and applicable U.S. federal law, without regard to conflict-of-laws rules.
